BACKGROUND
The Ghana Institute of Journalism intends to embark on the construction of a proposed 5000 Capacity Students’ Hostel Complex with Commercial/Recreational facilities on its New Campus at North Dzorwulu. The Institute is committed to executing the project by Constructing the Hostel on a Build Own Operate and Transfer (BOOT) basis on its New Site at North Dzorwulu, Accra. Potential transaction advisors are required to be familiar with the PPP Policy.
1.0. OBJECTIVE
The primary objective of the Transaction Advisory services is to develop a well-structured bankable Project to enable the smooth and timely procurement of a suitable private party (“Developer”) to provide the Student Hostel Accommodation in accordance with the National Policy on PPPs. The Multi-Storey Students Hostel Accommodation is to achieve energy savings as well as improving conditions for its students.
2.0. SCOPE
As stated in the introduction, the scope of work is divided into two Phases. This section provides an indicative scope of work for the Transaction Advisor, but it should not be construed as the total set of activities required for the successful closure of the project. The assignment involves transaction structuring and International Competitive Tendering. The Transaction Advisor’s team of specialized technical, financial, legal and environmental/safeguards experts will undertake extensive due diligence to recommend the most technically and commercially viable transaction structure. The Transaction Advisor will be responsible for: (i) marketing the project; (ii) prequalifying potential private sector parties according to pre-established technical and financial criteria; (iii) drafting bidding documents; (iv) assisting in the selection of the preferred bidder; (v) assisting in the negotiation and signing of contract; and (vi) facilitating the financial closure process.
3.0. CONSULTANT’S TEAM
TEAM COMPOSITION AND DESIRED QUALIFICATIONS
All specialists should have related work experience as mentioned below, including global exposure and ability to work in a team and transfer skills and knowledge effectively.
Team Leader
The PPP Specialist/Team Leader is expected to have minimum of a Master’s Degree in economics, law, finance, engineering, development, business administration, management or a relevant discipline. An interdisciplinary background is desirable and be fully conversant with all aspects of the project life cycle. She/he will be the Team Leader with the overall responsibility of directing and coordinating the inputs of the other specialists, overall quality control and performance of the team, ensuring outputs expected, professional integrity and conduct of the team. She/he will provide guidance on the major issues for negotiation of the BOOT arrangement and assist in the negotiations. The Team Leader will spend at least 60% of his/her time in Accra, the capital city of Ghana.
Project Finance Specialist
The Project Finance Specialist is expected to have a background in economics, finance, business administration or a relevant discipline. A Master’s degree in any of these fields and an interdisciplinary background, with relevant professional qualification, such as ACCA, ICA, CIMA, CFA, etc. will be an advantage and he/she must be fully conversant with all aspects of infrastructure financing and investment, PPPs, and Project Finance.
Engineer (Civil/Structure)
The Engineer is expected to have a Master’s degree in Civil/Structural Engineering with membership of a relevant professional institution. She/he is expected to provide guidance on the major technical issues for the PPP arrangement.
Architect
The Architect is expected to have a Post Graduate degree in Architecture with membership of a relevant professional institution. She/he is expected to provide guidance on the major technical issues for the PPP arrangement.
Legal Specialist
The Legal Specialist must be a lawyer qualified to practice in at least one jurisdiction and belong to a legal professional body. The Legal Specialist must have a minimum qualification of Bachelor in Law (LLB) with demonstrated familiarity with the legal issues surrounding project finance, advising on contractual arrangements for project finance transactions and risk allocation. She/he must also have experience in drafting contractual agreements, negotiating and closing projects.
Environmental & Safeguards Specialist
The Environmental & Safeguards Specialist is expected to have a minimum of a Master’s Degree in Environmental Assessment/Management, Environmental/Civil Engineering, Economics, Social Sciences or other relevant field. She/he will ensure that the project is properly prepared and implemented in compliance with national and international environmental and social safeguards instrument, policies, regulations and procedures.
The GIJ now invites eligible consulting firms (“Consultants”) to indicate their interest in providing the Transaction Advisory Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services (brochures, description of similar assignments, experience in similar conditions, availability of appropriate skills amongst Staff, etc. The shortlisting criteria are: (1) Core business and number of years in business, 2) Technical and Managerial organisation of the firm, (3) Availability of Appropriate qualifications and skills among Staff. The Team members should not be less than 5 years’ experienced in their respective fields. (4) Firm’s experience in similar assignments and (5) Firm’s experience in working in similar conditions and environment.
DURATION OF SERVICE
Project should be completed within 24 months after signing of contract.
CRITERIA FOR PRE-SELECTION
A Consultant will be selected in accordance with Selection Based on the Consultants’ Qualifications (CQS) set out in the Guidelines of the PPA Act 663 and as Amended
Interested Transaction Advisors shall provide the following as part of their Expression of Interest:
a. Valid Incorporation Document
b. Valid GRA Clearance, SSNIT Certificate and PPA Registration Certificate
c. Company profile
d. Evidence of proof of working on similar nature of assignment
e. Managerial, technical capacity and expertise
f. Profile of key Technical and Managerial Staff proposed for the project
