The State Interests and Governance Authority (SIGA) is established by the State Interests and Governance Authority Act, 2019 (ACT 990) to oversee and administer the States Interests in State-Owned Enterprises (SOEs), Joint Venture Companies (JVCs) and other State Entities (OSEs) and to provide for related matters.

SIGA is also the agency of Government responsible for the implementation of Government’s policy on Divestiture, a function that was previously undertaken by the Divestiture Implementation Committee (DIC).
Act 990) enjoins the Authority to among other things;
a) ensure that Specified Entities (SEs) adhere to good Corporate Governance practices (section 3 (b);

b) develop a Code of Corporate Governance to guide and promote sound Corporate Governance practices of the Specified Entities (section 4 (d); and

c) prepare and submit, to the Minister, an annual assessment report on the governance and institutional performance of specified entities. The above constitutes the basis for this code (section 4 (e).

In view of the above, SIGA with funding from the “Agence Francaise de Development” and in collaboration with Expertise France (EF) intends to organize a workshop to solicit the views and inputs of stakeholders on the draft Code, and deepen their ownership and commitment to its eventual implementation. It is on this note that SIGA seeks the services of a reputable consultancy firm with the requisite capacity and experience to undertake this task.

2.0 OBJECTIVE OF ASSIGNMENT

The purpose of the Workshops is to solicit the views and inputs of Stakeholders on the draft Code, win their approval and deepen their ownership and commitment to its eventual implementation.

The specific objectives are to:
a) create the space for stakeholders and partners to contribute to the development of the Code, reflecting relevant diverse views;
b) achieve stakeholders’ involvement and buy-in;
c) enhance quality of the final document;
d) sensitize stakeholders and initiate their familiarization process with the Code; and
e) stimulate stakeholders’ ownership and commitment to the implementation of the final Code.


3.0 SCOPE OF ASSIGNMENT

The work consists of engaging a Consultant to carry out the following three key tasks:
a) Review and provide inputs / feedback on the draft Code of Corporate Governance;
b) Facilitate series of Stakeholders’ Consultative Workshops on the Draft Code; and
c) Incorporate relevant agreed inputs of participants into the draft Code for subsequent publication.


4.0 ASSIGNMENT DELIVERABLES
The Consultant is expected to achieve the following key deliverables, among others, through engagement with all relevant stakeholders:

a) Report on the review of the Draft Code;
b) Report on Stakeholders’ Consultations
c) Finalized Code of Corporate Governance

5.0 FIRM QUALIFICATION SELECTION CRITERIA

Education – Minimum of Master’s Degree in Corporate Governance, Political Science, Social Sciences, Human Rights or similar fields.

Experience
a) Professional experience in Governance, especially Corporate Governance (minimum 7 years’ experience)
b) Excellent facilitation and application of participatory engagement skills
c) Experience in policy analysis and formulation, development of Codes and Charters, monitoring and evaluation
d) Experience in working with National Governmental and non-Governmental institutions
e) Knowledge of operations of the State-Owned Enterprises (SOEs), Joint Venture Companies (JVCs) and Other State Entities (OSEs), collectively referred to as Specified Entities (SEs) is desirable.
f) Excellent mastery of oral and written English.
A Firm will be selected in accordance with the SELECTION BASED ON CONSULTANTS’ QUALIFICATION procedure specified in the Public Procurement Act, 2003 (Act 663) and its Amendment Act, 2016 (Act 914) and in the Guidelines of the Public Procurement Authority of the Republic of Ghana
