LEASE HOLD FOR HOSTEL DEVELOPMENT

1.0 INTRODUCTION
The Ghana Communication Technology University (GCTU) under a Public Private Partnership intends to procure TRANSACTION ADVISORY SERVICES FOR PROCUREMENT PHASE: DEVELOPMENT OF a 2,436 BED CAPACITY HOSTEL FACILITY UNDER a PPP ARRANGEMENT. In furtherance to this, the GCTU intends to engage the services of a Transaction Advisor to assist it through the procurement phase of the PPP project cycle in accordance with the Public Private Partnership Act, 2020 Act (1039). Given this, potential transaction advisors familiar with the Public Private Partnership Act, 2020 Act (1039), and the procurement documentation are required to support the GCTU in this phase.
2.0 OBJECTIVES OF THE ASSIGNMENT
The primary objective of the Consultant is to prepare procurement documentation and assist the client with the procurement of a suitable private party (“Developer”) to partner with the GCTU to use a PPP arrangement in line with the Public Private Partnership Act, 2020 Act (1039) to deliver the proposed project.
This Request for Expression of Interest invites Transaction Advisors representing a Firm of suitably qualified and experienced financial, economic, technical, safeguard/environmental, procurement, climate resilience, and legal advisors to provide GCTU with the services below.
3.0 SCOPE OF WORKS
The assignment covers the preparation of Request for Qualification (RFQ); Request for Proposal (RFP) and the draft Agreement (bidding documents) by the project transaction advisor. The preparation of the bidding document will adopt a standard bidding documents template developed by the Public Private Partnership Office in accordance with the PPP Act.
The transaction advisor amongst others will be responsible for (i) assisting in prequalifying potential private partner parties according to pre-established technical and financial criteria; (ii) assisting with the selection of the preferred bidder; (iii) assisting with the negotiation and signing of the PPP Contract; and (iv) facilitate the financial closure process using the PPP Act as a guide.



4.0 REQUIRED SPECIFIC CRITERIA
The Ghana Technology University College now invites eligible consulting firms ("Consultants") to indicate their interest in providing the Services. Interested Consulting firms/Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. The shortlisting criteria are as follows:
1. The consulting firm (“the consultant”) must be legally registered.
2. The firm should have successfully delivered at least a similar assignment (i.e. preparing feasibility studies for a Hostel Facility) in the last 10 years.
3. The firm should have provided advisory support in PPP transaction structuring, financial and economic analysis and modelling for a Hostel Facility in the last 10 years, with at least one project reaching financial close in that category.
4. Experience in preparing PPP Bidding documents for at least 2 transactions and in selecting a preferred bidder in the last 10 years.
5. Experience in identification of project risks and allocation of the same efficiently and economically in at least 2 transactions that reached financial in the last 10 years,
6. Experience in PPP capacity building in the last 10 years.
7. Relevant international and regional experience in the preparation of PPP project Agreement.
8. Demonstrable experience with the Ghana PPP Act, 2020 (Act 1039) will be an advantage.
9. The firm must also have a team with the requisite skills to undertake the assignment as indicated below.

5.0 MANDATORY REQUIREMENTS:
Interested Consultants should also provide the following as part of their Expression of Interest. Before the assessment of the proposals the under-listed will be verified to ascertain their authenticity:
1. Legal status of the firm (i.e. Certificate of Registration and Certificate to Commence Business).
2. Evidence of professional registration of the firm.
3. Evidence of previous works (similar assignment) executed in the last ten (10) years.
4. Demonstrate experience in PPP transaction structuring, technical, financial economic and risk analysis as well as modelling for a Hostel Facility in the last 10 years.
5. Demonstrate experience in preparing PPP Bidding documents to effectively select a preferred bidder to reach financial close.
6. Proof of registration with the Public Procurement Authority (PPA).
7. Valid Tax Clearance Certificate
8. Curriculum Vitae (CV) of technical and managerial staff proposed for the assignment.

Hence, Interested Consultants must provide information in the sequence stated above with other requirements.






6.0 TEAM COMPOSITION
The Transaction Advisor needs to be a single legal entity with all other necessary expertise secured via subcontract, or joint venture arrangement with other consulting firms to enhance their capabilities, strengthen the technical responsiveness of their proposals, make available bigger pools of experts, and enhance the value and quality of their services. The Terms of Reference, to be attached to the RFP shall include detailed Qualifications and competence of each team member in the fields listed below:
a. PPP Specialist/ Team Leader
Minimum of a Master’s Degree in economics, law, finance, engineering, development, business administration, management, or a relevant discipline. Minimum of 10 years of demonstrated experience in preparation of PPP projects.
b. Project Finance Specialist
Must have a background in economics, finance, business administration, or a relevant discipline. A Master’s degree in any of these fields with a minimum of 8 years of demonstrated experience in preparing PPP projects including financial modelling/structuring of large infrastructure projects
c. Engineer (Civil/Structure)
A Master’s degree in Civil/Structural Engineering with at least fifteen (15) years of demonstrated experience in design, layout, construction, and operations of multi-floor buildings, cost recovery mechanisms, and identification of issues to be addressed in office-type PPPs. Must have assisted in the preparation of two (2) projects on commercial development and facilities management in a similar environment within the last 6 years.
d. Architect
A postgraduate degree in Architecture with at least fifteen (15) years of demonstrated experience in design, layout construction, and operations of green multi-floor office buildings/complexes, and identification of issues to be addressed in office-type PPPs. Must have assisted in the preparation of two (2) projects on commercial development and facilities management in a similar environment within the last 6 years;
e. Legal Specialist
Must have a minimum qualification of Bachelor in Law (LLB) with at least 8 years of demonstrated experience in preparing PPP projects, and drafting & negotiating contractual agreements. Preferably have assisted in the preparation of two (2) PPP projects within the last 8 years.
f. Environmental & Safeguards Specialist
A minimum of a Master’s Degree in Environmental Assessment/Management, Environmental/Civil Engineering, Economics, Social Sciences, or other relevant field with at least eight (8) years of demonstrated experience in environmental impact assessment, social impacts, and mitigation measures. Must have experience in at least two (2) projects on commercial development and facilities management in a similar environment within the last 6 years
g. Climate Change Specialist
A minimum of a Master’s Degree in natural sciences (Ecology, Natural Resource Management, and or natural sciences), or Climate Change Mitigation (Engineering or related). At least 5 years of experience in climate risk assessment for infrastructure.
7.0 A consultant will be selected by the procedures set out in the Public Procurement Act, 2003 (Act 663) as Amended with (Act 914).
The Method of selection of Consultants shall be based on the “Qualitative Analysis Method” to determine the successful consultants. Shortlisted Consultants will be invited at a later date to respond to the Request for Proposal (RFP) for the assignment.
